These Terms of Service (also referred to herein as these “Terms”) are an agreement between TwoSevenTwo Development LLC (dba “Cryptic.Social”), a company based in Ohio, which is the owner and operator of https://cryptic.social (the “Site”), the Cryptic.Social software, and the Cryptic.Social mobile apps (collectively “Cryptic.Social”, the “Cryptic.Social Service”, or the “Service”), and you, a user of the Service. BY USING THE SERVICE, YOU ACKNOWLEDGE AND AGREE TO THESE TERMS, AND TO CRYPTIC.SOCIAL'S PRIVACY POLICY, WHICH CAN BE FOUND AT https://cryptic.social/privacy, AND WHICH IS INCORPORATED HEREIN BY REFERENCE. PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY AGREEING TO THESE TERMS OF SERVICE, YOU ALSO CONSENT TO OUR COLLECTION, USE AND DISCLOSURE OF INFORMATION YOU PROVIDE US IN ACCORDANCE WITH OUR PRIVACY POLICY. IF YOU CHOOSE TO NOT AGREE TO ANY OF THESE TERMS, YOU MAY NOT USE THE SERVICE.

ALL CLAIMS AND DISPUTES ARISING UNDER THESE TERMS MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER USER.

At Cryptic.Social we are challenging social norms by providing a service that is as free of oversight as possible with adherence to law. This means there are few rules for use of Cryptic.Social Services, including but not limited to your use of the following features:
  • Orgs ("Organizations"), which are profiles where businesses, brands, organizations, artists, and public figures are represented on Cryptic.Social that may be followed by users;
  • Groups ("Groups"), which are communities where Cryptic.Social members can gather to communicate and share about a given topic;
  • Events ("Events"), which are events that may be scheduled through Cryptic.Social, including with other users;
  • Market ("Marketplace"), which is a online selling place of anything deemed of value by users of Cryptic.Social;
  • Courses ("Courses" or "Classes") which is a learning experience taught/facilitated from other users of Cryptic.Social;
  • Discuss ("Discussions") which is a forum for discussion of a broad range of subjects amongst users;
  • Files ("Files") is a file sharing platform for users;
  • Videos ("Videos") and Photos ("Photos") are a place to share videos and photos by users of Cryptic.Social.

As a condition of your use of the Site, you represent and warrant to us that you will not use the Site for any purpose that is unlawful or prohibited by these Terms.

User Content Ownership

You own your content. We don’t. We don’t share your content with marketers. Third parties cannot pay Cryptic.Social to target you. At Cryptic.Social you have full control over your feed and content.

For that reason, materials, including but not limited to text, data, images, graphics, photos, audio, audiovisual, videos, and content of any nature provided by users of Cryptic.Social (“User Content”) are owned by the party contributing such content. As a user of Cryptic.Social, you are solely responsible for your own submissions. By transmitting your submissions or otherwise through or using Cryptic.Social you represent that you have all rights and authorizations necessary to post, submit, display, produce, or otherwise transmit, such content. You agree that you will not submit material that is or contains the intellectual property of a third party that you do not have permission to use. You promise that your User Content does not infringe the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party.

Cryptic.Social is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Content, which may be inaccurate, infringing, offensive, indecent, or objectionable. You understand that all information posted or transmitted through Cryptic.Social is the sole responsibility of the person from which such content originated and that we are not and will not be liable for any errors or omissions in any content. You understand that we cannot guarantee the identity of users or the accuracy of any data that users may provide any other users with whom you interact in the course of using Cryptic.Social.

By submitting, posting or displaying User Content through the Site and Services, you grant Cryptic.Social a worldwide, royalty-free, non-exclusive license to copy, reproduce, process, adapt, modify, publish, transmit, display, distribute, or otherwise use User Content, including for the purpose of providing and improving the Site and the Services.

Notice and Takedown Policy

Cryptic.Social honors copyright laws, including the Digital Millennium Copyright Act (“DMCA”), and takes reasonable steps to promptly remove from our Services and Site any infringing material that we become aware of. If Cryptic.Social becomes aware that a user has infringed copyrights, we will take reasonable steps within our power to remove the infringing content, including, but not limited to, terminating the user’s account. If you believe that anything on the Services infringes a copyright that you own or control, please contact [email protected] with the following information:

  1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works on the applicable Cryptic.Social Services are covered by a single notification, a representative list of such works on the applicable Cryptic.Social Services;
  3. Identification of the material that is claimed to be infringing or to be the subject of the infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Cryptic.Social to locate the material;
  4. Information reasonably sufficient to permit Cryptic.Social to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted;
  5. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  6. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

You acknowledge that if you fail to provide Cryptic.Social with the information listed above, your DMCA notice may not be valid. Please note that under Section 512(f) of the US Copyright Act, any person who knowingly materially misrepresents that material or activity is infringing may be subject to liability.

Whether on behalf of yourself or on behalf of a third party, you may NOT:

  • Violate any law or regulation.
  • Collect e-mail addresses or other contact information of other users by electronic or other means for the purpose of sending unsolicited or unauthorized advertising or commercial communications, such as spam.
  • Engage in spidering or harvesting, or participate in the use of software, including spyware, designed to collect data from the Site or Services, including about other Cryptic.Social users.
  • Use automated methods to use the Site or Services, or otherwise use the methods that interfere with, disable, disrupt, impair or create an undue burden on the networks or services that support this Site.
  • Stalk, harass, bully, intimidate, or harm another user.
  • Post unlawful content.
  • Impersonate someone.
  • Post content that is hateful, threatening, harmful, or incites violence.
  • Use Cryptic.Social to do anything unlawful, misleading, malicious, or discriminatory, or otherwise promote any criminal or illegal activity, or provide instructional information about illegal activity.
  • Post content you do not have the right to transmit.
  • Post content that infringes on trademarks or copyrights.
  • Post viruses or malicious scripts.
  • Post spam or link bait.
  • Attempt to circumvent any technological measure implemented by Cryptic.Social or any of Cryptic.Social's providers or any other third party (including another user) to protect the Site or Services.
  • Attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Site or Services.
  • Access (or attempt to access) areas or features of this Site for which you do not have the proper authorization.
  • Use the Site or Services in a way that we determine, in our sole discretion, restricts or inhibits any other user from using or enjoying this Site.
  • Advocate, encourage, or assist any third party in doing any of the foregoing.
  • Selling usernames, Orgs names, or Group names: You may not buy or sell Cryptic.Social usernames, Orgs names or Group names.
  • Username, Orgs name, Group name squatting: You may not engage in username, Orgs name, or Group name squatting, as determined in Cryptic.Social’s sole discretion. Some of the factors we may take into consideration when determining whether conduct is username, Orgs name, or Group name squatting include:

  1. the number of accounts created;
  2. the creation of accounts for the purpose of preventing others from using those account names;
  3. the creation of accounts for the purpose of selling those accounts; and
  4. the use of third-party content feeds to update and maintain accounts under the names of those third parties.

  • Fake Accounts: You may not register or create fake and misleading, deceptive or fraudulent accounts, as determined in Cryptic.Social’s sole discretion. While you may use Cryptic.Social pseudonymously or as a parody, commentary, or fan account, you may not impersonate or falsely represent a brand, entity, or public figure, or use misleading account information in order to engage in spamming, abusive, or disruptive behavior, including attempts to manipulate conversations on Cryptic.Social. Some of the factors that we may take into account when determining whether an account is fake include:

  1. Use of stock or stolen avatar photos;
  2. Use of stolen or copied profile bios; and
  3. Use of intentionally misleading profile information.
  4. Where a Orgs, Group, or Event is being used to express support for or interest in a brand, entity, or public figure, it must make clear in the name or description that it is not an official representation.

  • More on Spam: You may not use Cryptic.Social’s services for the purpose of spamming anyone, as determined in Cryptic.Social’s sole discretion. Spam is generally defined on Cryptic.Social as bulk or aggressive activity that attempts to manipulate or disrupt Cryptic.Social or the experience of users on Cryptic.Social to drive traffic or attention to unrelated accounts, products, services, or initiatives. Some of the factors that we take into account when determining what conduct is considered to be spamming include:

  1. if you have made a large number of group or user contact requests, or followed and/or unfollowed a large number of user accounts or Orgs, in a short time period;
  2. if your posts or comments consist mainly of links and/or are shared without commentary;
  3. if a large number of people have blocked you in response to high volumes of untargeted, unsolicited, or duplicative content or engagements from your account;
  4. if a large number of spam complaints have been filed against you;
  5. if you post duplicative or substantially similar content, replies, comments to multiple Pages, Groups, or users; or create duplicate or substantially similar accounts;
  6. if you post multiple updates to a Orgs, Group, user or topic with an intent to subvert or manipulate the topic to drive traffic or attention to unrelated accounts, products, services, or initiatives;
  7. if you send large numbers of unsolicited posts, comments, replies or mentions;
  8. if you add users to lists in a bulk or aggressive manner;
  9. if you are randomly or aggressively engaging with Orgs, Groups, or users to drive traffic or attention to unrelated accounts, products, services, or initiatives;
  10. if you repeatedly post other people’s account information as your own (e.g., bio, posts, comments, profile, user URL, etc.);
  11. if you post misleading, deceptive, or malicious links (e.g., affiliate links, links to malware/clickjacking pages, etc.); and
  12. Accounts created to replace or mimic suspended accounts may be permanently suspended.

We may also remove accounts which Cryptic.Social at its discretion attributes to entities known to violate the Cryptic.Social Terms of Service.

  • Additional Policies for Orgs, Groups, Courses, Market, and Events:

  1. Gambling Orgs, Groups, and Events must not facilitate or promote online gambling, online real money, games of skill, or online lotteries without our prior written permission.
  2. Inaccurately Tagged Orgs, Groups, and Events must not inaccurately tag content or encourage users to inaccurately tag content.
  3. Incentivization Orgs, Groups, and Events must not incentivize people to misuse Cryptic.Social features or functionality.

Rights Reserved

At its discretion, Cryptic.Social may permanently cancel accounts of users who violate the Terms. Cryptic.Social reserves the right to view Private Groups for the purposes of fixing issues, to respond to complaints about Terms violations, or when required to do so by law. Cryptic.Social reserves the ongoing right to view any content to assess compliance with this Terms of Service. Cryptic.Social reserves the right to remove objectionable content without notice. Cryptic.Social can remove any content or information you post at Cryptic.Social if we believe that it violates our Terms.

We may suspend or terminate your account or cease providing you with all or part of the Services at any time for any or no reason, including, but not limited to, if we reasonably believe you have violated these Terms.

Cryptic.Social reserves the right to ban Orgs, Groups, Courses, Markets, and users that do not comply with these Terms as assessed in Cryptic.Social’s sole discretion and interpretation of its Terms of Service; and Users, Orgs, Markets, and Groups under investigation or which have been detected as sharing content in violation of these terms may have their visibility limited in various parts of Cryptic.Social, including search. Orgs, Groups, Markets, and users may not be notified when any of this occurs. Banned Orgs, Groups, Markets, and users may contact Cryptic.Social Customer Support to request more information. We reserve the right to respond or not respond to such requests. You are required to comply with the rules in these Terms.

While we have the right to monitor activity and content associated with Cryptic.Social, we are not obligated to do so. We do not guarantee the accuracy, integrity or quality of any content submitted by users. Because community standards vary and individuals sometimes choose not to comply with our policies and practices, you understand that in the process of using Cryptic.Social, you may be exposed to content that you find offensive or objectionable in your communities. We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted at Cryptic.Social or endorse any opinions expressed at Cryptic.Social. We may investigate the complaints and violations of our policies that come to our attention and may take any action that we believe is appropriate, including, but not limited to issuing warnings, removing the content or terminating accounts and/or subscriptions. We also, however, reserve the right not to take any action. Under no circumstances will we be liable in any way for any content, including, but not limited to any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any content on the Website.

Due to storage limitations and expenses, Cryptic.Social reserves the right to close and delete any user account that has not been logged in for a period of 6 months or more. Cryptic.Social will notify any such users whose accounts it intends to delete, by email, if they have been inactive for greater than 5 months and provide those users with a minimum of 30 days’ notice and options on how to keep their content and account at Cryptic.Social or how to download their content onto their personal computers. Cryptic.Social will give one final notice at least 48 hours prior to deleting an account.

Cryptic.Social reserves the right to transfer ownership and administration of or terminate a Group or Org that has been abandoned by the Org or Group owner and its appointed Org or Group administrators. A Org or Open Group is considered abandoned if the Org or Group owner and Org or Group administrators do not log into Cryptic.Social for at least 6 months or do not post to the Org or Group for at least 6 months. Once the transfer of a Org or Group ownership and administration is effected by Cryptic.Social, it may be transferred subsequently at any time by Cryptic.Social.

Purchases

There are no fees for use of many of the features on Cryptic.Social. However, premium features and subscriptions (“Premium Services”) are available for purchase by Cryptic.Social members for additional services Cryptic.Social may offer. Cryptic.Social may change the fees and/or benefits associated with premium features from time to time or may immediately suspend or terminate premium features for any or no reason and without advance notice or liability. If you break any of Cryptic.Social’s Terms in the use of your Cryptic.Social account and/or in the use of its premium features and subscriptions that you have purchased, in addition to other actions we may take, we may cancel any or all of your premium features and subscriptions immediately and no refund will be granted for any payments you have made.

Purchase Information: If you wish to purchase Premium Services (a “Purchase”), you may be asked to supply certain information relevant to your Purchase, including information about your method of payment (such as your payment card number and expiration date) and your billing address (collectively, “Purchase Information”). You represent and warrant that you have the legal right to use any Purchase Information utilized in connection with any Purchase. By submitting Purchase Information to us, you grant to us the right to provide such information to third parties for the purposes of facilitating the completion of Purchases initiated by you or on your behalf. Verification of Purchase Information may be required prior to the acknowledgment or completion of any Purchase.

Premium Services: All descriptions, images, references, features, content, specifications, Premium Services and prices of Premium Services are subject to change at any time without notice. The inclusion of any Premium Services on the Site does not imply or warrant that these Premium Services will be available. It is your responsibility to ascertain and obey all applicable local, state, federal, and international laws in regard to the receipt, possession, use, and sale of any Service. By entering into a Purchase, you represent and warrant that the Premium Service that you buy will be used only for the intended purpose and in a lawful manner. We reserve the right, with or without prior notice, to do any one or more of the following: (a) limit the availability of or discontinue any Premium Service; (b) impose conditions on the honoring of any discount, promotional code, or other similar promotion; (c) bar you from making or completing any or all Purchase(s); and (d) refuse to provide you with any Premium Service.

Payment: When you purchase a Premium Service that is paid for by you through recurring payments, you agree that you are authorizing recurring payments, and that such payments and thereby subscription will be made by the method and at the recurring intervals you have agreed to, until the subscription is terminated by you or by Cryptic.Social. You may cancel a subscription at any time before the end of the current billing period and the cancellation will take effect on the next billing period.

Security: Cryptic.Social uses the services of established third party vendors for all payments and payment information. Cryptic.Social stores no payment information on its servers and is not liable for any breach of payment information or loss that occurs with the payment vendor.

Who Our Services Are For

The use of Cryptic.Social is for all persons age 16 and over who agree to these Terms. Cryptic.Social Terms and Privacy Policy are in force and applicable for all times when users access Cryptic.Social Sites and Services.

Third Party Sites

Persons age 16 and over may connect to 3rd party sites in which they have accounts through Cryptic.Social’s convenient “Social Networks” services. When connected to and engaged in 3rd party sites through Cryptic.Social, you agree and understand that while you are posting, commenting, sharing, etc., content with 3rd party sites, you and your content are in those moments under the legal authority of that 3rd party site and the privacy policies and other terms of that 3rd party site. This also applies if you click on an advertisement or coupon. Cryptic.Social is not responsible or liable for any damage or loss related to your use of any third-party website or online service. You should always read the terms and conditions and privacy policy of a third-party website or online service before using it, whether directly or in connection with your use of the Site or Services. If you connect to YouTube with your use of the Site or Services, you are agreeing to be bound by the YouTube Terms of Service. YOUR USE OF THIRD-PARTY SITES OR SERVICES IS AT YOUR OWN RISK.

Privacy and Passwords

Your personal privacy and data privacy are very important to us. You are responsible for maintaining the confidentiality of your Cryptic.Social account information, including your username and password. You are responsible for all activities that occur under your Cryptic.Social account and you agree to notify Cryptic.Social immediately of any unauthorized access or use of your Cryptic.Social account. Cryptic.Social is not responsible or liable for any damage or loss related to any unauthorized access or use of your Cryptic.Social account. For more information on the importance and protection of your privacy at Cryptic.Social, please see our Privacy Policy.

You are responsible for safeguarding the password that you use to access Cryptic.Social and for any activities or actions made through your account with Cryptic.Social. We encourage you to use “strong” passwords (passwords that use a combination of upper and lower case letters, numbers and symbols) with your account. Cryptic.Social cannot and will not be liable for any loss or damage arising from your failure to comply with the above.

Availability, Errors and Inaccuracies

We make a conscientious effort to describe and display Services accurately on the Site. Despite these efforts, a small number of Services may be described inaccurately, or unavailable, and we may experience delays in updating Service information. As a result, we cannot and do not guarantee the accuracy or completeness of any such information, including prices, specifications, and availability. We reserve the right to change or update Service information and to correct errors, inaccuracies, or omissions at any time without prior notice. If we determine that there were inaccuracies in Service information, we will cancel your Purchase and notify you of such cancellation based on contact information you provide to us for the Purchase.

Our Commitment To Data Security

Cryptic.Socia; uses commercially reasonable physical, managerial, and technical safeguards to preserve the integrity and security of your personal information. We cannot, however, ensure or warrant the security of any information you transmit to Cryptic.Social and you do so at your own risk. Using unsecured Wi-Fi or other unprotected networks to submit messages through the Cryptic.Social Service is never recommended. Once we receive your transmission of information, Cryptic.Social makes commercially reasonable efforts to secure our systems. However, please note that this is not a guarantee that such information may not be accessed, disclosed, altered, or destroyed by breach of any of our physical, technical, or managerial safeguards or otherwise. If Cryptic.Social learns of a security systems breach, then we may attempt to notify you electronically so that you can take appropriate protective steps. Cryptic.Social may post a notice on the Site or through the Cryptic.Social Service if a security breach occurs.

Cryptic.Social Content Data

When you use our Services, we process any data you explicitly enter into the site (your “Content Data”), including your full name, email address, profile information, posts, comments, photos, voice recordings, videos, files, emojis, etc. Cryptic.Social uses your Content Data for the sole purpose of serving and providing you with the full experience of Cryptic.Social. You control how we process your Content Data through Privacy & Sharing settings in your account at Cryptic.Social.

Notification of Requests for Account Information

Cryptic.Social's policy is to notify users of requests for their account information, which includes a copy of the request, prior to disclosure unless we are prohibited from doing so (e.g., an order under 18 U.S.C. § 2705(b)). Exceptions to prior notice may include exigent or counterproductive circumstances (e.g., emergencies; account compromises, etc.). We may also provide post-notice to affected users when prior notice is prohibited.

Guidelines for Law Enforcement Seeking Customer Data (Worldwide)

Like all service providers, Cryptic.Social is legally required to turn over customer data that it hosts when it receives valid legal process from a law enforcement authority with jurisdiction. The following guidelines apply to all customer data hosted by Cryptic.Social.

a. Service of Legal Process

Preservation requests, subpoenas, or search warrants from U.S. law enforcement or civil investigative agencies seeking data regarding Cryptic.Social's customers may be personally served at, or mailed to the address below. Cryptic.Social will only respond to requests from non-U.S. law enforcement agencies that are issued by a U.S. court either by way of a mutual legal assistance treaty or a letter interrogatory. Civil subpoenas require personal service and will not be accepted via fax.

b. Valid Legal Process is Required Before Disclosure

For all Cryptic.Social customers disclosure is governed by U.S. law, including the Federal Stored Communications Act (the “SCA”), 18 U.S.C. Sections 2701-2712, as well as by our own Terms and Privacy Policy. In general, we will turn over “basic subscriber” records (i.e., name, email address, and so on) in response to a valid subpoena that is issued in connection with an official criminal investigation. However, we require a search warrant issued upon a showing of probable cause under relevant state or federal law before we will turn over User Content stored on our servers, such as posts, photos, videos, documents, etc. Requests by law enforcement agencies require a valid search warrant or equivalent from an agency with proper jurisdiction over Cryptic.Social.

Indemnity

By accepting these Terms of Service, you agree to indemnify and otherwise hold harmless Cryptic.Social, its affiliates and subsidiaries and its and their officers, directors, employees, agents, contractors, assigns, and other partners from any and all claims, losses, liabilities, damages, fees, expenses and costs (including attorneys’ fees) and any and all direct, indirect, incidental, special, consequential or exemplary damages resulting from i) your access to or use of Cryptic.Social; ii) unauthorized access to or alteration of your communications with or through Crypic.Socia;, iii) your breach of any provision of these Terms; or iv) any other matter relating to Cryptic.Social. Any business transactions which may arise between users from their use of Cryptic.Social are the sole responsibility of the users involved, and we disclaim any and all responsibility for such transactions. Cryptic.Social will provide you with notice of any such claim or allegation, and Cryptic.Social will have the right to participate in the defense of any such claim.

Disclaimer

Cryptic.Social is not responsible or liable for any viruses or other contamination of your system or for any delays, inaccuracies, errors or omissions arising out of your use of the site or with respect to the material contained on the Services, including without limitation, any material posted to the Site. The Services and all materials contained therein are distributed and transmitted on an “as is” and “as available” basis. CRYPTIC.SOCIAL DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

UNDER NO CIRCUMSTANCES WILL CRYPTIC.SOCIAL, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS OR SERVICE PROVIDERS, OR ANY OF ITS AND THEIR RESPECTIVE SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS (COLLECTIVELY, THE “RELEASED PARTIES”) BE LIABLE TO YOU, OR ANY THIRD PARTY, FOR ANY LOSSES OR DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SITE, ITS CONTENT, ANY SERVICES OR PRODUCTS MADE AVAILABLE THROUGH THIS SITE, OR YOUR USE OF OR INABILITY TO USE THE SITE OR ANY SERVICES, INCLUDING ANY PURCHASES YOU MAKE OR LOSS OR DAMAGE DUE TO VIRUSES THAT MAY AFFECT YOUR COMPUTER EQUIPMENT, SOFTWARE, DATA OR OTHER PROPERTY ON ACCOUNT OF YOUR USE OF THIS SITE OR YOUR DOWNLOADING OF ANY CONTENT FROM THIS SITE.

YOU AGREE THAT WE WOULD NOT ENTER INTO THESE TERMS OF USE WITHOUT THESE LIMITATIONS ON OUR LIABILITY. Other Provisions
